1. ACCEPTANCE & ELIGIBILITY

1.1 Contractual Agreement: By accessing, browsing, registering on, or using Notchlens Marketplace (accessible via notchlens.com, market.notchlens.com, or related mobile applications), you enter a legally binding agreement with Notchlens Global Alliance Ltd (RC 8886205), a company registered under the laws of the Federal Republic of Nigeria.

1.2 Age Requirement: You must be at least 18 years old to create an account or use the Platform. If you are between 13 and 18 years, you may only use the Platform under the direct supervision of a parent or legal guardian who agrees to be bound by these Terms. The Platform is not directed to children under 13.

1.3 Capacity: You represent and warrant that you have the full legal capacity and authority to enter these Terms and that your use complies with all applicable laws, regulations, and third-party rights.

1.4 Account Information: You agree to provide accurate, current, and complete information during registration and to update such information promptly to maintain its accuracy. Provision of false or misleading information constitutes a material breach of these Terms.

1.5 Verification: Notchlens reserves the right to request identity verification, including but not limited to Bank Verification Number (BVN), National Identification Number (NIN), driver's license, or international passport, particularly for users seeking "Verified Seller" status or engaging in high-value transactions. Provision of such information is voluntary but may be necessary to access certain features.

2. DEFINITIONS

3. PLATFORM DESCRIPTION & USER ACKNOWLEDGMENT

3.1 Role of Notchlens: Notchlens provides an online marketplace platform that enables Users to connect, communicate, list, discover, and transact regarding camera equipment and related accessories. Notchlens is not a party to any Transaction, does not hold title to any listed items, and does not transfer legal ownership from Sellers to Buyers.

3.2 User Acknowledgment: You expressly acknowledge and agree that:

• Notchlens is not an agent, broker, employee, or representative of any User
• No agency, partnership, joint venture, employment, or fiduciary relationship exists between Notchlens and any User
• All contracts for the sale of items are strictly bilateral agreements between Buyer and Seller
• Notchlens does not inspect, authenticate, evaluate, or endorse any listed items unless expressly stated in a separate, paid service agreement
• Notchlens does not guarantee the existence, quality, safety, legality, or authenticity of any item listed

4. LISTINGS & CONTENT STANDARDS

4.1 Listing Warranty: By listing an item on the Platform, you represent and warrant that: You are the lawful owner of the item or have express authorization from the owner to sell it; The item is not stolen, counterfeit, or obtained through fraudulent means; The item is not subject to any undisclosed lien, security interest, or third-party claim; All descriptions, specifications, images, and conditions provided are accurate, complete, and not misleading; The item complies with all applicable Nigerian laws and regulations.

4.2 Prohibited Items: The following items may not be listed on the Platform: Stolen goods; Counterfeit products; Items infringing intellectual property rights; Weapons, ammunition, or explosives; Illegal drugs; Human body parts; Obscene materials; Items promoting violence or discrimination; Any item whose sale is prohibited by Nigerian law.

4.3 Image Standards: Listing images must accurately represent the actual item. Stock photos, misleading angles, or digitally altered images that misrepresent condition are prohibited. Sellers must disclose any significant damage, wear, or defects in both images and descriptions.

4.4 Pricing Accuracy: All prices listed are in Nigerian Naira (₦) unless otherwise specified. Sellers are responsible for ensuring prices are accurate and include all applicable taxes. Notchlens is not responsible for pricing errors made by Sellers.

4.5 Content License: By submitting Content to the Platform, you grant Notchlens a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such Content in connection with the Platform and Notchlens' business. This license continues even after you stop using the Platform, solely to the extent necessary for archival and legal compliance purposes.

4.6 Content Screening: Notchlens reserves the right, but has no obligation, to monitor, screen, or edit any Content. We may remove or refuse to post any Content that violates these Terms or is otherwise objectionable, in our sole discretion, without prior notice.

5. TRANSACTIONS & PAYMENTS

5.1 Transaction Formation: A binding contract for sale is formed directly between Buyer and Seller when the Buyer completes a purchase through the Platform's checkout system, OR the Buyer and Seller reach mutual agreement through Platform communication tools and the Seller confirms acceptance.

5.2 Payment Processing: Notchlens does not process payments directly. All payments for items are processed through third-party payment gateways integrated with the Platform, OR direct arrangements between Buyer and Seller (at both parties' own risk).

5.3 NotchBar for Fees: All Platform fees (listing fees, subscription fees, promotion fees) must be paid using NotchBar tokens. Details of the token system are governed by separate NotchBar Token Terms.

5.4 Taxes: You are solely responsible for determining and fulfilling all tax obligations arising from your Transactions, including but not limited to Value Added Tax (VAT), income tax on profits, withholding tax, and customs duties.

5.5 Delivery & Fulfillment: Sellers are responsible for all aspects of item delivery, including packaging, shipping arrangements, tracking information, and bearing risk of loss until Buyer receives and confirms acceptance.

5.6 No Escrow Service: Unless expressly stated in a separate written agreement, Notchlens does not provide escrow, trust, or custodial services for Transaction funds.

6. FEES & SUBSCRIPTIONS

6.1 Fee Structure: Notchlens charges fees for certain Platform features. Details of current fees are available on the Platform and may be updated from time to time.

6.2 Subscription Terms (My Shop): Subscriptions automatically renew unless cancelled. Cancellation must be submitted through the Platform at least 7 days before renewal. No partial refunds for unused portions. Notchlens may modify subscription benefits with 30 days' notice.

6.3 Fee Changes: Notchlens reserves the right to modify fees at any time. Fee changes become effective 30 days after posting to the Platform or notification to Users.

6.4 Non-Payment: If required fees are not paid when due, Notchlens may suspend or terminate access to paid features, remove listings, restrict account functionality, and pursue collection through legal means.

16. GENERAL CONDUCT STANDARDS

All Users must comply with all applicable laws, respect the rights of other Users, communicate professionally, use the Platform only for legitimate purposes, and protect their account credentials.

17. PROHIBITED ACTIVITIES

Without limitation, prohibited activities include marketplace manipulation, fraud and deception, off-platform transactions to avoid fees, abusive conduct, technical abuse, and intellectual property violations.

18. CONSEQUENCES OF VIOLATION

Violation may result in warning, temporary suspension, permanent termination, removal of listings, forfeiture of NotchBar balance, reporting to law enforcement, and legal action.

19. DISPUTES BETWEEN USERS

Notchlens is not responsible for resolving disputes between Users. Users are expected to communicate directly. Notchlens may, at its sole discretion, offer voluntary, non-binding mediation.

20. INDEMNIFICATION

You agree to indemnify and hold harmless Notchlens from all claims arising out of your use of the Platform, your Content, your violation of these Terms, or any dispute between you and another User.

21. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, NOTCHLENS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

22. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOTCHLENS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. NOTCHLENS' TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF ₦50,000 OR THE TOTAL FEES PAID BY YOU TO NOTCHLENS IN THE 12 MONTHS PRECEDING THE CLAIM.

23. THIRD-PARTY SERVICES

Notchlens integrates with third-party payment processors and may contain links to third-party websites. We are not responsible for their acts or omissions.

24. TERMINATION

You may terminate your account at any time. Notchlens may suspend or terminate your account for violation of Terms, suspicious activity, extended inactivity, or any other reason at our sole discretion.

25. MODIFICATIONS TO TERMS

Notchlens reserves the right to modify these Terms at any time. Modified Terms become effective upon posting to the Platform or notification to Users. Your continued use constitutes acceptance.

26. NOTICES

Notices may be provided through Platform notifications, email, SMS, or prominent posting on the Platform. Notices to Notchlens must be sent to legal@notchlens.com.

27. ASSIGNMENT

You may not assign these Terms without Notchlens' written consent. Notchlens may assign these Terms freely.

28.1 Notice Requirement

Before filing any claim against Notchlens, you agree to provide thirty (30) days' written notice to disputes@notchlens.com describing the claim in reasonable detail and engaging in good-faith negotiations to resolve the matter. This requirement is designed to resolve disputes efficiently without litigation.

28.2 Arbitration Agreement

If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be finally settled by arbitration administered by the Abuja Multi-Door Courthouse (LMDC) in accordance with its Arbitration Rules in effect at the time of the dispute. The arbitration shall be conducted in Abuja, Nigeria, in the English language, before a single arbitrator. Each party shall bear its own costs, and arbitration fees shall be shared equally unless the arbitrator determines otherwise.

28.3 Exceptions to Arbitration

The following claims are not subject to arbitration and may be brought in the Federal High Court, Abuja Judicial Division: (a) claims for intellectual property infringement; (b) claims for urgent injunctive relief to prevent irreparable harm; and (c) small claims within the jurisdiction of Small Claims Courts.

28.4 Class Action Waiver

You agree that any arbitration or court proceeding shall be conducted on an individual basis and not as a class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
